Intellectual Propertly
Ownership of Product Content
Suppliers retain ownership of the intellectual property rights to the product descriptions, images, trademarks, and other related materials they provide for listing on the Payslashes platform.
○ By listing products, suppliers grant Payslashes a worldwide, royalty-free, non-exclusive license to use, display, modify, and distribute the content solely for promotional, operational, and business purposes.Accuracy of Product Content
Suppliers must ensure that all product information, including descriptions, specifications, and images, is accurate, complete, and not misleading.
○ Suppliers are solely responsible for any claims, disputes, or liabilities arising from false or misleading information provided for their listings.Prohibited Content
Suppliers must not upload or submit any content that:
○ Violates the intellectual property rights of third parties.
○ Contains offensive, defamatory, or unlawful material.
○ Is deceptive, fraudulent, or otherwise unethical.
○ Payslashes reserves the right to remove any content that violates these terms without prior notice.Third-Party Intellectual Property
Suppliers must ensure they have the rights or necessary permissions to use any third-party intellectual property included in their product listings (e.g., licensed logos, images, or trademarks).Payslashes’ Intellectual Property
Suppliers may not use the Payslashes name, logo, trademarks, or proprietary features for personal or commercial purposes without prior written consent.
Termination
Right to Terminate
Payslashes reserves the right to suspend or terminate a supplier’s account or product listings at any time under the following circumstances:
○ Violation of Payslashes’ Terms and Conditions or other policies.
○ Submission of false, misleading, or inaccurate product details.
○ Engaging in fraudulent, unethical, or illegal activities.
○ Customer complaints regarding product quality or misrepresentation.
Supplier-Initiated Termination
Suppliers may deactivate their account or request the removal of their product listings by providing written notice to Payslashes.
○ Any pending transactions, disputes, or commissions must be resolved before termination is finalized.Effects of Termination
Upon termination of an account or product listings:
○ Payslashes will remove the supplier’s products and content from the platform.
○ Suppliers are still liable for any outstanding fees, commissions, or obligations incurred before termination.
○ Payslashes is not responsible for any loss of sales, data, or opportunities resulting from the termination.
Liability Exemptions
Payslashes is not liable for damages or losses resulting from:
○ The suspension or termination of a supplier’s account or product listings.
○ Any disputes or legal actions arising from the supplier’s products or conduct.Fraudulent or Unethical Practices
Payslashes reserves the right to take legal action against suppliers engaged in fraudulent or unethical activities, including but not limited to:
○ Listing counterfeit, stolen, or defective goods.
○ Misrepresenting product features, quality, or condition.
○ Failing to fulfill customer orders or refund requests in good faith.
Changes To This Agreement
We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms and Conditions.
